1. Eligibility and Accounts
Business use. The service is intended for lawful business use by persons able to enter a binding agreement. A person accepting for an organisation represents that they have authority to bind it.
Account security. Users must provide accurate information, protect credentials, enable available security controls, restrict access to authorised personnel, and promptly report suspected compromise.
2. Service Description
Maria Systems provides AI-assisted enquiry responses, buyer qualification, HOT/WARM/COLD lead prioritisation, matching assistance using brokerage-approved inventory, CRM updates, dashboards, sales alerts, appointment requests, human handoff, follow-up and separate missed-lead recovery for real-estate brokerages. Availability depends on the agreed scope, configuration and supported connections. Appointment requests remain pending until confirmed by an authorised person or connected calendar.
3. Acceptable Use
Use the service only for lawful, authorised purposes and in accordance with platform, advertising, telecom, consumer, real-estate, and data-protection requirements.
Do not send spam, contact people without a valid lawful basis, evade opt-outs, impersonate others, or use deceptive identities or claims.
Do not generate or publish unverified property availability, prices, fees, returns, yields, legal documents, mortgage approvals, or guaranteed investment outcomes.
Do not use the service to discriminate unlawfully, exploit vulnerable persons, harass, threaten, conduct unlawful surveillance, or make prohibited automated decisions.
Do not probe, disrupt, reverse engineer, bypass limits, introduce malware, scrape without permission, or access another client’s data. Do not upload data that the user or Client lacks authority to process.
4. AI and Real Estate Disclosures
AI interaction. Users and Clients must provide any disclosure required to explain that an AI system may participate in the conversation. Users may request a human where the configured service supports escalation.
No professional advice. Outputs are informational sales assistance and are not legal, financial, mortgage, tax, valuation, investment, or brokerage advice. Qualified professionals and authorised Client personnel must verify material decisions and claims.
No outcome guarantee. Maria Systems does not guarantee leads, response rates, appointments, closings, commissions, revenue, investment performance, or property availability.
5. Client Content and Data
Ownership. Clients retain rights in their data, inventory, branding, and content. They grant Maria Systems and approved providers a limited right to process it solely to provide, secure, support, and improve the service as contractually permitted.
Responsibility. Clients are responsible for accuracy, legality, notices, permissions, retention instructions and responses to data-subject requests for their business and data. These responsibilities do not remove Maria Systems’ own applicable legal or contractual responsibilities. Maria Systems may remove or restrict content reasonably believed unlawful, unsafe, infringing or contrary to platform rules.
6. Third Party Services
Connected services are governed by their own terms. Third-party outages, policy changes, account restrictions, message rejection, API limits, price changes or data handling outside Maria Systems’ contractual control may affect availability, but do not excuse Maria Systems’ own breaches of applicable legal or contractual responsibilities. Users must maintain required third-party accounts and permissions.
7. Fees, Trials and Taxes
Fees. Paid services are charged as stated in the applicable Order Form or checkout. Fees are due in advance unless stated otherwise. Taxes and third-party costs are additional.
Trials and demos. Trials and demonstrations may use fictional or limited data, may be modified or withdrawn, and must not be treated as production services unless Maria Systems provides written launch approval.
8. Cancellation and Refunds
Setup fees
Setup fees are refundable before client-specific configuration or implementation work begins. Once that work has started, setup fees are non-refundable, subject to applicable mandatory law. Implementation means actual work configuring the client’s agreed service; sending a blank onboarding or configuration questionnaire alone does not constitute implementation.
Monthly subscription fees
A client may request a full refund of a monthly subscription payment within 72 hours after that payment is successfully collected. This applies to the initial monthly payment and each monthly renewal. Requests received after that window are non-refundable for that billing period, except where required by applicable law. Eligibility depends on when the request is received, not when Maria Systems responds. The monthly refund window does not make a non-refundable setup fee refundable.
Cancellation
Monthly subscriptions may be cancelled with 30 days’ written notice unless a separately signed agreement or Order Form specifies a different term. Cancellation does not itself create a refund entitlement. A timely monthly refund request is assessed separately from the cancellation notice period. If the current monthly payment is refunded, access for the refunded period ends. Otherwise, access continues through the paid service period, unless legitimately suspended for breach or security reasons.
Requests
Send cancellation and refund requests to contact@mariasystems.com, identifying the business and relevant payment. Do not include full payment-card details.
These provisions do not exclude rights or remedies that cannot lawfully be excluded. A separately signed agreement or applicable Order Form prevails where it expressly provides different terms, subject to mandatory law.
9. Intellectual Property
Maria Systems and its licensors own the service, reusable workflows, prompts, templates, methods, interfaces, documentation, and improvements. No ownership transfers except as expressly stated in a signed agreement. Users may not copy, resell, sublicense, remove notices, or create a competing derivative from protected materials except where law expressly permits.
10. Suspension and Termination
Maria Systems may suspend or terminate access for non-payment, material breach, unlawful activity, security risk, platform-policy violation, harm to third parties, or required legal action. Where practical, Maria Systems will provide notice and a reasonable opportunity to cure. Terms intended to survive, including payment, confidentiality, IP, disclaimers, liability, and disputes, remain effective.
11. Disclaimers and Liability
Service basis. To the maximum extent permitted by law, the service is provided as available without implied warranties of merchantability, fitness, non-infringement, uninterrupted availability, or error-free results.
Liability. Maria Systems is not liable for indirect, consequential, special, incidental, punitive, lost-profit, lost-revenue, lost-opportunity, goodwill, or data loss. Aggregate liability is limited to fees paid for the affected service during the three months before the event, except where law prohibits limitation.
12. Indemnity
A Client will defend and indemnify Maria Systems against third-party claims arising from its data, business, properties, messaging, instructions, unlawful use, unapproved claims, infringement, or violation of law or platform rules, subject to prompt notice and reasonable control of the defence.
13. Governing Law and General Terms
Kenyan law governs these Terms, and disputes are subject to competent courts in Nairobi, Kenya. Before litigation, the parties will attempt good-faith resolution for fifteen days. Electronic communications and signatures are valid where permitted. Invalid provisions are narrowed, not used to invalidate the remainder. Failure to enforce is not waiver. Maria Systems may update these Terms prospectively by posting a revised effective date; material changes to paid services will be communicated reasonably.
